Terms of Service Agreement

For the CEO & Managing Partner Inner Circle™ Program w/ John C. Maxwell

Program Enrollment Agreement & Terms of Service

Effective Date: January 1, 2027

Program Term: January 1, 2027 – December 31, 2027

Provider: CPA Leadership Group LLC (New Jersey)

1. Acceptance and Authority

By enrolling, Client agrees to this Program Enrollment Agreement. The individual completing enrollment represents that they have the authority to bind the Client. Enrollment becomes effective only upon written confirmation from CPA Leadership Group.

Electronic signatures and electronic acceptance are valid and enforceable.

2. Program Term and Included Services

The Program includes one seat for Client’s designated CEO or Managing Partner (“Participant”).

Included services are those listed in the Program Description displayed at enrollment: https://www.cpaleadershipgroup.com/ceo-managing-partner

Only services expressly listed as included are provided. Statements about anticipated outcomes are aspirational and not guarantees. Missed sessions, late enrollment, or scheduling conflicts do not extend the Program Term or reduce the purchase price.

3. Price and Payment Commitment

Client selects one of the following:

  • Paid in Full: $100,000 at enrollment

  • Installments: Twelve monthly payments of $10,000 (total $120,000)

The installment option is a commitment to purchase the entire Program. It is not a month-to-month membership or cancel anytime subscription. Payment option cannot be changed without written agreement.

4. No Refunds; Withdrawal

All sales are final. Payments are non-refundable except as expressly stated in Sections 7 and 8 or required by law.

Withdrawal, dissatisfaction, leadership changes, financial circumstances, mergers, or unused benefits do not entitle Client to refunds, credits, or cancellation of remaining installments. A Participant leaving the firm does not release Client’s payment obligations.

5. Payment Authorization

Client must maintain accurate billing information and an authorized payment method. Revoking payment authorization does not cancel amounts owed. Client may dispute billing errors in good faith.

6. Default and Remedies

If a payment is overdue, Company will notify Client and allow ten days to cure. Company may suspend participation until payment is made. If nonpayment continues for thirty days, Company may terminate access and pursue legally recoverable amounts, including reasonable collection costs and attorney fees where permitted.

7. Program Changes and Cancellation

Company may adjust dates, venues, or delivery methods with reasonable notice, provided changes do not materially diminish the Program. If a specifically promised speaker or material experience becomes unavailable, Company will attempt to reschedule. Material replacements require Client’s written agreement. If Company cancels the entire Program before it begins, payments will be refunded and unpaid installments canceled. If Company cancels a material component after commencement and no replacement is agreed, Company will refund or credit the reasonable value of that component.

8. Material Breach and Events Beyond Reasonable Control

A party alleging material breach must provide written notice and allow thirty days to cure. Neither party is liable for delays caused by events beyond reasonable control (excluding inability to pay). If a material component cannot be delivered within ninety days of its scheduled date, Client may elect a refund/credit for that component.

9. Participant Substitution and Conduct

Client may request a replacement Participant. Approval will not be unreasonably withheld. Participants must follow venue rules and Program conduct standards. Harassment, threats, unlawful conduct, unauthorized recording, and misuse of confidential information are prohibited. Company may suspend participation to protect people, confidential information, or Program operations.

10. Confidentiality

Confidential Information includes nonpublic information shared during the Program, including firm strategies, financial information, personnel matters, and peer discussions. Both parties must protect Confidential Information using reasonable care. Confidentiality obligations last three years after the Program ends; trade secrets remain protected indefinitely. Recording, automated transcription, and AI meeting assistants require Company’s prior written approval and participant consent.

11. Intellectual Property

All Program materials remain owned by Company or their respective owners. Client receives a limited, nonexclusive, nontransferable license to use materials internally for leadership development. Client may not sell, sublicense, publicly distribute, or use materials for external training without written permission. Nonpublic materials may not be uploaded to external AI systems without written consent.

12. Publicity; Firm Name and Logo; Privacy

12.1 Firm Name & Logo

Unless Client opts out, Client grants Company a nonexclusive, royalty‑free, worldwide license to use Client’s business name and logo to identify Client as a participating firm and to promote the Program and any successor or related leadership programs offered by Company, including future versions, future cohorts, and future promotional materials.

This permission includes use on Company’s website, brochures, presentations, email communications, and social media, and may continue after the Program Term for historical, archival, and promotional purposes unless and until Client opts out under Section 12.2.

Company will follow reasonable brand guidelines supplied by Client, make no material alterations except proportional resizing or formatting, and will not imply endorsement beyond accurate identification of participation.

12.2 OptOut

Client may withdraw permission at any time by emailing DR@CPALeadershipGroup.com. Company will remove digital materials within ten business days.

12.3 Individual Publicity

Participant’s name, likeness, testimonials, or quotations require separate written permission.

12.4 Administration

Company may use enrollment and payment information to administer the Program consistent with its privacy notice.

13. No Guaranteed Outcomes

The Program provides leadership education, not legal, tax, investment, or accounting advice. Company does not guarantee revenue, profitability, transactions, promotions, or other results. Participation does not create a fiduciary, employment, partnership, or advisory relationship.

14. Limitation of Liability

To the maximum extent permitted by law:

  • Company is not liable for indirect, special, incidental, consequential, exemplary, or punitive damages.

  • Company’s total liability will not exceed the Program fees paid by Client.

These limitations do not apply to fraud, willful misconduct, gross negligence, or liability that cannot be limited.

15. ThirdParty Claims

Client will indemnify Company against thirdparty claims arising from Client’s or Participant’s unlawful conduct, confidentiality breaches, or infringement through materials they supply. Client may control the defense but may not settle a claim imposing obligations on Company without written consent.

16. Recreational Activities; Assumption of Risk; Release and Indemnification

Golf and other recreational or optional activities offered in connection with the Program are voluntary. Participants are solely responsible for assessing their physical ability to participate and must follow all venue rules, safety instructions, and any activity‑specific requirements. To the maximum extent permitted by law, Client and Participant voluntarily assume all risks of personal injury, property damage, or other loss arising from or relating to their participation in any recreational activity, whether occurring at a Program venue, off‑site location, or third‑party facility.

Company does not supervise or control recreational activities and is not responsible for conditions, equipment, or conduct at any venue or facility. Client will indemnify, defend, and hold harmless Company and its officers, directors, employees, contractors, speakers, and representatives from any claims, demands, damages, liabilities, losses, costs, or expenses (including reasonable attorney fees) arising out of or relating to:

Participant’s or Client’s participation in any recreational activity;

Participant’s failure to follow safety instructions or venue rules;

Participant’s negligent, reckless, or intentional conduct;

Injuries or damages occurring at third‑party venues or facilities;

Any claim brought by Participant or Participant’s representatives relating to such activities.

This indemnification does not apply to claims arising from Company’s own gross negligence, willful misconduct, or other liability that cannot lawfully be waived.

17. Governing Law and Disputes

This Agreement is governed by New Jersey law. Parties will attempt goodfaith resolution for thirty days before litigation. Disputes will be brought exclusively in New Jersey state courts or the U.S. District Court for the District of New Jersey.

18. General Terms

The Enrollment Documents constitute the entire agreement.

Amendments require written acceptance by both parties.

Assignment requires written consent, except in a merger or sale where the successor assumes obligations.

Severability applies to unenforceable provisions.

Notices must be sent to DR@CPALeadershipGroup.com and to Client’s designated email.
